Uniserve Communications Corporation (TSXV: USS), a Canadian provider of managed IT, ISP, cloud, and data centre services, announced today that it will not meet the filing deadline for its business acquisition report (BAR) and associated financial statements related to the acquisition of Megawire Inc. The Company requires additional time to prepare the financial statements and arrange for the completion of the audit, as Megawire and other companies involved in the transaction—Brimax Financial Services Inc. and Waterloo Wireless Inc.—are private companies that have not previously prepared audited financial statements.
Under National Instrument 51-102 – Continuous Disclosure Obligations, the BAR is required to be filed within a 75-day period. Uniserve expects to make the required filings by no later than June 30, 2026. The Company has imposed a management trading blackout pending the filing. Other than the required filings, Uniserve confirms it is current in its other continuous disclosure filings.
The acquisition of Megawire, announced on December 23, 2025, is viewed by the Company as an important step in expanding Uniserve’s capabilities and geographic reach in delivering managed IT, connectivity, and digital infrastructure solutions across Canada. Uniserve will provide updates as required in accordance with applicable securities laws.
