tZERO Enhances TZROP Conversion Proposal to Include Common Equity Participation

tZERO Group, Inc., a blockchain-powered multi-asset infrastructure company, announced an enhancement to its proposal to convert TZROP security tokens into tokenized Series B preferred stock, now including participation in tZERO common equity. The revised proposal, announced on April 16, 2026, follows feedback from investors who expressed a desire to participate across the company's capital structure and share in potential future upside.

Under the enhanced terms, each TZROP share would convert into three shares of Series B preferred stock and eight shares of tZERO common stock, pending approval by a majority of outstanding TZROP holders. The resulting common stock is expected to be fully tokenized and custodied on-chain within tZERO's regulated wallet infrastructure. While the value of these interests depends on future business developments and potential dilution from financing rounds, the objective is to provide enhanced exposure to another layer of tZERO's capital structure and any potential upside in a liquidity event.

Bed Bath & Beyond, Inc., tZERO's largest shareholder, expressed its intention to support the proposal, including significant dilution to its common stock position, subject to corporate governance enhancements. These include a designated Board seat for Bed Bath & Beyond and engagement of Alvarez & Marsal to conduct a comprehensive review of tZERO's technology resources, vendor services, and operational footprint to increase efficiency and reduce costs.

Marcus Lemonis, Executive Chairman and CEO of Bed Bath & Beyond, stated: 'tZERO was born out of Beyond's vision for tokenization in financial services... This next phase must be defined by stronger governance, clear accountability, and a materially lower cost structure.' Upon closing, tZERO CEO Alan Konevsky will assume the role of Chairman of the Board, with Matt Mosman transitioning to a director role.

Under the original terms, TZROP holders would receive approximately 31% of outstanding Series B preferred stock. With the enhancement, existing TZROP holders will also hold approximately 31% of outstanding common stock and restricted stock units. The proposal reduces interests of current common stockholders by about 30% and Series B preferred holders by 27% in their respective classes. On a fully diluted basis, TZROP holders would represent approximately 31% of the company, though their share at exit or liquidity will depend on future factors.

tZERO engaged Dahn Consulting Group to conduct an independent analysis of relative values, with implied fair value conversion ratios indicating each share of Series A Preferred is equivalent to approximately 1.13 shares of Series B preferred or 2.76 shares of common stock. This enhancement aligns early supporters with tZERO's long-term growth by providing direct participation across share classes post-conversion. The company does not intend to provide near-term liquidity for tokenized common shares, unlike Series B shares expected to have liquidity opportunities. The proposed restructuring remains subject to approval by required security holders and other conditions.
