Steyr Motors Proposes Two New Supervisory Board Members with Defense and Capital Market Expertise

Steyr Motors AG (ISIN AT0000A3FW25), a leading manufacturer of customized engines for mission-critical defense and civil applications, announced today the proposal of two new members for its Supervisory Board. The company will put forward Rolf Wirtz and Gerhard Schwartz for election at the Annual General Meeting scheduled for 10 April 2026.

The move comes after Mutares SE & Co. KGaA, the former major shareholder, sold its entire stake in Steyr Motors in November 2025. Consequently, the previous Supervisory Board members representing Mutares, Dr. Christian Klingler and Fabian Schlegel, will not stand for re-election, with their terms ending at the close of the Annual General Meeting.

Rolf Wirtz brings extensive experience in the defense sector, having served as CEO of TKMS until 2022. His deep industry knowledge is expected to support Steyr Motors in expanding its military and civil business. Gerhard Schwartz, a well-known financial expert on the Austrian capital market, has a long career as an auditor and tax advisor, most recently as managing partner at EY. He is designated to head the audit committee, helping Steyr Motors strengthen its financial and control functions for future growth.

The company also proposes the re-election of Alexander Fitzka, Investment Manager of the B&C Group, who has been a Supervisory Board member since August 2025.

Julian Cassutti, CEO of Steyr Motors, stated: "I am delighted to continue to have a highly qualified and experienced Supervisory Board at my side with the newly proposed Supervisory Board members, who will provide the company with the best possible support and supervision as it takes its next steps towards growth. I would like to express my sincere thanks to the outgoing Supervisory Board members for their open and trusting cooperation for the benefit of the company."

The Annual General Meeting will take place on 10 April 2026 at 10 a.m. in Steyr. Relevant documents are available on the Steyr Motors AG website in the Investor Relations section at ir.steyr-motors.com.

This appointment is crucial for Steyr Motors as it positions itself for further growth after the change in ownership structure. The new Supervisory Board members bring complementary expertise: Wirtz's defense industry background aligns with the company's core military business, while Schwartz's financial acumen is vital for scaling operations and meeting capital market requirements. The re-election of Fitzka ensures continuity from the B&C Group, a key stakeholder. These changes signal a strategic focus on strengthening corporate governance and operational capabilities to capitalize on opportunities in the defense and civil engine markets.
