Newron Shareholders Approve Board Elections at AGM 2026; Quorum Not Reached for Extraordinary Motions

Newron Pharmaceuticals announced that shareholders approved all ordinary agenda motions, including the election of two new independent board members, while extraordinary items were postponed due to insufficient quorum.

Newron Shareholders Approve Board Elections at AGM 2026; Quorum Not Reached for Extraordinary Motions

Newron Pharmaceuticals S.p.A. (SIX: NWRN, XETRA: NP5) announced the results of its Annual General Meeting (AGM) held on April 23, 2026. Shareholders approved all motions on the agenda for the ordinary part of the meeting, notably the election of George Garibaldi and Paolo Zocchi as new, independent, and non-executive Board members. However, the extraordinary part of the meeting was not put to vote because the required quorum was not reached.

The company, headquartered in Bresso near Milan, Italy, focuses on developing novel therapies for central and peripheral nervous system diseases. Its lead compound, evenamide, is a first-in-class glutamate modulator currently in the global pivotal ENIGMA-TRS Phase III development program for treatment-resistant schizophrenia (TRS) and poorly responding schizophrenia patients. Clinical trials have shown significant improvements in efficacy measures and a favorable safety profile.

The newly elected directors bring extensive experience. George Garibaldi and Paolo Zocchi are expected to contribute to the company’s strategic direction. The failure to reach a quorum for extraordinary motions means that any proposed changes requiring supermajority approval will need to be addressed at a future meeting.

Newron has established partnerships for evenamide, including with EA Pharma (a subsidiary of Eisai) for Japan and other Asian territories, and Myung In Pharm for South Korea. The company’s first marketed product, Xadago®/safinamide, is approved for Parkinson’s disease in multiple regions, including the EU, Switzerland, the UK, USA, Australia, Canada, Latin America, Israel, UAE, Japan, and South Korea. Commercialization is handled by partners Zambon, Supernus Pharmaceuticals (in the U.S.), and Meiji Seika (in Japan and other Asian territories).
