Naturally Amish, operating under Simulated Environment Concepts, Inc. (OTC: SMEV), has signed a binding Letter of Intent (LOI) and placed a $25,000 deposit to acquire a fully operational USDA-inspected livestock slaughter and meat processing facility in the Midwest. This strategic move is designed to advance the company's vertical integration strategy, connecting livestock from Amish farms in Indiana and Ohio directly to consumers, restaurants, and grocery stores.
The acquisition is expected to immediately add approximately $2 million or more in existing annual revenue to the Naturally Amish platform. Management believes that planned expansions in processing, direct-to-consumer sales, and distribution could potentially generate an additional $3 million in revenue during the first full year of operations post-acquisition. These projections are based on current assumptions and subject to market conditions and successful completion of the transaction.
The facility offers year-round slaughter and processing services for cattle, hogs, lambs, and goats, including custom and USDA-inspected processing for commercial retail and wholesale markets. By owning this capacity, Naturally Amish would gain greater control over processing schedules, quality, product development, distribution, and margins, while reducing reliance on third-party processors. The location near its Amish farm network would also facilitate processing cattle closer to the source, supporting efforts to secure additional cattle supply relationships throughout the Midwest.
Noah Wagler, CEO of Naturally Amish, emphasized the importance of processing in the supply chain: “Processing is one of the most important links between the farmer and the consumer. Acquiring a USDA-inspected facility near our Indiana and Ohio farm network would give Naturally Amish greater control over our supply chain while helping us move products directly from Amish farms into homes, restaurants and grocery stores.” He added that vertical integration could create significant competitive advantages in an environment of high beef prices and limited processing capacity.
The property includes infrastructure for future growth, such as expanded cattle processing capacity, a second production line, a standalone smokehouse, additional refrigeration and packaging, and a retail storefront. It also has three-phase electrical service, recent refrigeration upgrades, and wastewater discharge permits, which management believes could support expansion. Naturally Amish is also evaluating proprietary and patented technologies to improve processing efficiency and product quality, subject to testing and regulatory approval.
The strategic acquisition is intended to strengthen Naturally Amish's farm-to-consumer platform, enabling it to participate in more of the agricultural value chain—from livestock production to processing, packaging, and distribution. The facility would support multiple revenue channels, including direct-to-consumer beef sales, restaurant and foodservice, grocery distribution, private-label production, and USDA processing services for other producers.
The transaction is subject to customary due diligence, definitive agreements, financing, regulatory review, and verification of USDA authority and permits. The seller has requested to withhold the facility's name until closing, given its proximity to the Amish community. Additional information will be announced as material developments occur.
