NanoViricides Raises $3.8 Million in Registered Direct Offering to Advance Antiviral Drug Development

NanoViricides, Inc. (NYSE American: NNVC) announced it has entered into a securities purchase agreement with a single fundamental institutional investor for a registered direct offering expected to generate approximately $3.8 million in gross proceeds. The offering involves the sale of 2,516,339 common shares, or pre-funded warrants in lieu thereof, along with warrants to purchase an equal number of common shares. Each full warrant has an exercise price of $1.75 per share and expires five and a half years after issuance. The transaction is expected to close on or about July 27, 2026, subject to customary closing conditions, with D. Boral Capital LLC serving as exclusive placement agent. The full press release is available at https://nnw.fm/2qH5W.

This capital infusion is critical for NanoViricides as it advances its lead drug candidate, NV-387, a broad-spectrum antiviral designed to treat respiratory syncytial virus (RSV), COVID-19, Long COVID, influenza, MPOX/smallpox, and measles. The company is currently focused on moving NV-387 into Phase II human clinical trials. Additionally, NanoViricides is developing NV-CoV-2, a nanoviricide drug candidate for COVID-19, and NV-CoV-2-R, which encapsulates remdesivir within polymeric micelles. The company believes that since remdesivir is already FDA-approved, NV-CoV-2-R may have a clearer regulatory path if safety is comparable.

The offering underscores investor confidence in NanoViricides' platform technology, which is based on TheraCour Pharma Inc.'s nanomedicine technology. NanoViricides holds exclusive perpetual licenses for several antiviral drugs targeting HIV/AIDS, hepatitis B and C, rabies, herpes simplex, varicella-zoster, influenza, dengue, Japanese encephalitis, West Nile virus, Ebola/Marburg, and certain coronaviruses. The company also intends to pursue licenses for RSV, poxviruses, and enteroviruses pending initial research success.

NanoViricides' business model relies on licensing technology from TheraCour for specific virus verticals, a strategy established at its founding in 2005. The company's pipeline includes NV-HHV-1 for shingles and other candidates for oral and genital herpes, viral eye diseases, and various influenza strains. However, the company cautions that drug development is extremely lengthy and requires substantial capital, with no assurance that any candidate will prove effective or safe in human trials.
