The Annual General Meeting of Kudelski SA (SIX:KUD.S) convened on April 14, 2026, at the company's headquarters in Cheseaux-sur-Lausanne, Switzerland, with all proposals from the Board of Directors receiving strong shareholder approval. The meeting, attended by 38 shareholders or proxies representing 63,952,062 shares out of 97,809,214 total shares, marked a key moment for the cybersecurity and digital security firm as it reaffirmed its leadership and strategic direction.

Shareholders voted in favor of the 2025 annual report, Kudelski SA's financial statements, the Group's consolidated accounts, and profit allocation. The compensation report for the Board of Directors and the Executive Board was also approved, along with the discharge of both boards for the fiscal year 2025. This broad endorsement underscores investor confidence in the company's governance and financial performance.

In board elections, Mrs. Marguerite Kudelski and Messrs. Laurent Dassault, Michael Hengartner, Andre Kudelski, Pierre Lescure, Alec Ross, and Claude Smadja were re-elected for a one-year term. Andre Kudelski was also re-elected as Chairman of the Board of Directors. Previously a partner at KPMG from 2004 to 2025 and chair of KPMG Suisse's board from 2014 to 2024, Béguin brings extensive financial and governance expertise. She holds a Master's degree in Business Administration from HEC Lausanne and is a certified public accountant. Her appointment is expected to strengthen the board's financial oversight and strategic guidance.

The Remuneration and Nomination Committee was elected for a one-year term, comprising Messrs. Michael Hengartner, Pierre Lescure, Alec Ross, and Claude Smadja. PricewaterhouseCoopers SA in Lausanne (Pully) was re-elected as the Group’s audit firm, and Ofisa Berney Associés SA in Lausanne was elected as independent representative, both for a one-year period.
