Greenland Mines Acquires Strategic 9.9% Stake in AnorTech, Expanding into Midstream Critical Minerals Processing

Greenland Mines Ltd. (NASDAQ: GRML) announced a strategic share exchange agreement with AnorTech Inc., acquiring an initial 9.9% equity interest in the Greenland-focused technology and resource development company. The deal includes an option to increase ownership to as much as 19.9% within six months. This investment supports Greenland Mines’ North Atlantic Critical Metals Corridor strategy and provides exposure to AnorTech’s sustainable alumina, high-purity alumina, CO2-free cement, and industrial materials technologies derived from its Gronne Bjerg anorthosite project in Greenland.

The transaction expands Greenland Mines’ reach beyond upstream resource development into the midstream processing segment of the critical materials value chain. AnorTech is advancing a proprietary process designed to produce sustainable smelter-grade alumina and high-purity alumina from anorthosite while eliminating conventional bauxite-residue tailings. This approach could offer a more environmentally friendly alternative to traditional alumina production, which typically generates significant waste.

Greenland Mines noted that the investment aligns with its broader strategy of building a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. The company is advancing its North Atlantic Critical Metals Corridor vision, which links Greenland resources with allied downstream jurisdictions and industrial infrastructure. AnorTech’s Gronne Bjerg anorthosite project in Greenland is central to its technology portfolio. Anorthosite is a rock type rich in aluminum, and AnorTech’s proprietary process aims to extract alumina without the environmental drawbacks of bauxite mining and processing. The elimination of bauxite-residue tailings could reduce the environmental footprint of alumina production, which is a key input for aluminum smelting and high-purity applications such as electronics and LED lighting.

The transaction is expected to close by June 30, subject to customary closing conditions, including acceptance by the TSX Venture Exchange. Greenland Mines is a Nasdaq-listed company with two operating divisions: Mining, focused on exploration and development of the Skaergaard Project in southeast Greenland and the Sarfartoq neodymium-praseodymium rare earths project in southwest Greenland; and Biotech, including Klotho’s KLTO-202 primary indication for ALS. The company’s strategy is centered on building a multi-asset platform with exposure to critical materials.

This acquisition marks a significant step for Greenland Mines as it diversifies into midstream processing, potentially adding value to its resource assets. The investment in AnorTech’s sustainable technologies could also enhance Greenland Mines’ positioning in the growing market for environmentally friendly critical materials.
