Genesis Holdings, Inc. (OTC: GNIS) CEO Oscar Brito published a letter to shareholders on July 27, 2026, outlining the company's approach to creating structural shareholder value beyond traditional asset ownership. The letter emphasizes the company's unique infrastructure through its subsidiary Travaleo, which operates a digitally structured investment platform for private real estate offerings.

Unlike typical small-cap holding companies, Genesis focuses on participating in the economics of assets it helps bring to market without owning them outright. Through Travaleo, the company provides compliance architecture, investor onboarding, and issuance technology for real estate offerings, earning a seat at the table alongside partners who contribute assets and relationships.

Brito highlighted the partnership with Aurami Capital as a clear expression of this strategy, giving Genesis direct access to world-class developers in South Florida and a pipeline of institutional-quality real estate. The company aims to bring an initial fund to market under Regulation S, targeting investors in Mexico, with additional vehicles under discussion. As the tech partner, Travaleo participates in the carried interest, positioning Genesis as a principal rather than a vendor.

The letter also explored several forward-looking concepts under active study, including potentially sharing general partner (GP) economics with GNIS shareholders. Brito stated that GP economics from structured funds are an asset belonging to the company, and the company is examining whether a portion could be distributed to common shareholders as a dividend, offering direct interest in branded Miami luxury real estate assets. Notably, such dividends would be non-dilutable.

Other considerations include acquiring property management operations to build recurring revenue beneath the platform, as fund vehicles are episodic while management contracts provide durable service revenue. Additionally, the company is evaluating whether Travaleo should serve third-party sponsors on an economics-based model, acting as a white-label platform for other issuers.

Brito acknowledged real obstacles, including registration and exemption requirements, financial statement thresholds the company currently does not satisfy, and transfer agent and tax considerations. He emphasized that any concept could be rendered impractical, but preferred leading a company that asks whether the value it creates can flow to its owners.

The CEO framed this strategy as the most effective answer to structural pressures faced by small-cap issuers, noting that while balance sheet repair is maintenance, building a business that generates its own economics is the strategy that compounds value. The company recently addressed a substantial portion of convertible note overhang through preferred exchange agreements and will continue to engage constructively with investors.
