Genesis Holdings CEO Details Balance Sheet Repair and Growth Strategy in Letter to Shareholders

Genesis Holdings, Inc. (OTCID: GNIS) CEO Oscar Brito has issued a letter to shareholders detailing the company's progress in restructuring its balance sheet and outlining its growth strategy. The letter, released today, emphasizes that the company has moved past a period of heavy dilution from convertible debt and is now positioned to execute on initiatives including fund launches, acquisitions, and a potential national exchange listing.

Brito described the restructuring of legacy convertible debt as the most difficult part of the turnaround. Over the past six months, the company negotiated with individual noteholders to convert two-thirds of outstanding balances into Series D Preferred Stock, eliminating conversion discounts and variable pricing mechanics. As a result, the pro forma balance sheet as of June 30, 2026, shows positive stockholders' equity of approximately $901,550, a swing of about $3.0 million from a deficit at the end of 2025. Brito cautioned that these figures are unaudited and may change, but the direction aligns with the company's goals.

With the balance sheet stabilized, Genesis is now focusing on growth. The company's Travaleo platform, in partnership with Aurami Capital and Miami Real Investment (MRI), expects to launch two funds by the end of August. The first is a direct offering targeting approximately $30 million in branded luxury real estate, supported by roadshows in Latin America. The second involves advanced discussions with a Mexico-based wealth management firm managing about $5 billion in assets. Brito noted that no definitive agreements have been reached, but the company is confident in its positioning.

In parallel, Genesis plans to relaunch its MetroCrowd platform for traditional real estate segments, including single-family homes and multifamily properties. This relaunch will be coupled with an acquisition strategy targeting profitable, mid-sized property management firms to serve as operating partners, similar to Aurami's role in luxury real estate. No definitive agreements are in place for these acquisitions.

Brito highlighted that these steps are building toward a national securities exchange listing, which would provide access to more cost-effective capital. He concluded that while work remains, the foundation for growth is in place. The full letter is available on NewMediaWire.
