G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) has completed its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, creating what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana. Under the transaction, each G2 share was exchanged for 0.212 GMIN common shares and 0.50 common shares of G3 Goldfields, which was spun out as part of the arrangement.

GMIN said combining the adjacent Oko West and Oko-Ghanie deposits is expected to generate operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity and enhanced operational flexibility. The merged assets are located in the mineral-rich Guiana Shield, a region known for significant gold production and exploration upside.

GMIN also clarified that previously disclosed mineral resource estimates for the Oko-Ghanie Project should be considered historical estimates under NI 43-101 and not current mineral resources from GMIN’s perspective. The company said it will undertake additional geological modeling, data integration and drilling before issuing updated combined mineral resource estimates and a supporting technical report, with further technical studies expected to culminate in a comprehensive report in 2027.

The acquisition positions GMIN to become a mid-tier precious metals producer, leveraging strong access to capital and proven development expertise. The company is currently anchored in mining-friendly jurisdictions: Brazil, with the Tocantinzinho Gold Mine and the Gurupi Project, as well as Guyana, with the Oko West Project. GMIN trades on the TSX under the symbol “GMIN” and on the OTCQX under “GMINF”.
