Edgewater Wireless Secures Strategic Investment from Silicon Catalyst Angels

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, has closed a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment, announced on September 8, 2026, marks the second strategically aligned semiconductor investor to back the company's roadmap as it advances toward prototype validation and commercial engagements.

The private placement, conducted in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units. Each unit consists of one common share and one warrant, with warrants exercisable at $0.09 per share for two years. The second tranche, which closed with SCA's investment, included 4,799,666 units at $0.06 per unit for gross proceeds of $287,979.96. Edgewater Chairman Brian Imrie also participated, investing $96,000, reinforcing insider alignment with shareholders.

This investment extends Edgewater's relationship with Silicon Catalyst, which began in November 2024 when the company was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to over 500 industry experts and several million dollars' worth of in-kind design, fabrication, and commercialization resources. SCA's participation brings not only capital but also the expertise of seasoned semiconductor executives, technologists, and investors who can provide strategic guidance and industry connections relevant to silicon execution and future capital formation.

The funding will support Edgewater's PrismIQ™ platform and next-generation Spectrum Slicing™ roadmap, including engineering development, prototype validation, and planned demonstrations for high-reliability Wi-Fi and emerging high-performance applications. As Wi-Fi evolves toward Wi-Fi 7 and beyond, with devices operating in congested or partially occupied spectrum, Edgewater's technology aims to address these challenges by intelligently mitigating congestion and managing spectrum allocation in real-time.

The securities issued in the second tranche are subject to a statutory hold period until January 9, 2027, and the closing remains subject to final acceptance by the TSX Venture Exchange.
