AUTODOC Secures EUR 530 Million Term Loan B, Marks Debut in Institutional Debt Markets

The online auto parts retailer's first institutional debt issuance strengthens its capital structure, supports shareholder returns without dilution, and keeps an IPO on the agenda.

AUTODOC Secures EUR 530 Million Term Loan B, Marks Debut in Institutional Debt Markets

AUTODOC, Europe's leading online retailer of automotive spare parts and accessories, announced the placement of a EUR 530 million Term Loan B, marking its debut in institutional debt markets. The transaction is part of a broader financing package totaling EUR 580 million, which also includes a EUR 50 million Revolving Credit Facility (RCF). The Term Loan B carries interest of EURIBOR +3.50%, has a 7-year tenor, and was rated Ba3 with stable outlook by Moody's and B+ with positive outlook by S&P. The RCF has a 6.5-year tenor with interest of EURIBOR +3.00% and serves as a liquidity buffer.

The proceeds from the Term Loan B will be used to repurchase shares held by entities owned or controlled by Apollo-managed funds in Autodoc SE and to pay related fees and expenses. As part of the transaction, Autodoc Holding SE has been established as the Group's new parent company, with 100% of its shares held by AutoTech GmbH & Co. KG, the investment entity of AUTODOC's three founders.

CEO Dmitri Zadorojnii described the transaction as a defining moment that sharpens the company's focus and operations. "By implementing this financing structure, we secured public debt supported by a wide range of institutional investors to enable the continued path towards new chapters in the capital markets in the future," he said. CFO Lennart Schmidt highlighted that AUTODOC's current net debt-free balance sheet provides a unique opportunity to introduce this financing framework, promoting long-term financial flexibility and accelerating shareholder returns without equity dilution. "It also gives us a track record with institutional investors and strengthens our optionality for a potential IPO - which remains on our agenda, with timing dependent on market conditions," Schmidt added.

AUTODOC's streamlined corporate structure supports its long-term vision of becoming Europe's leading automotive aftermarket tech ecosystem, combining advanced AI capabilities, data-driven decision-making, and enhanced digital experiences. Founded in Berlin in 2008, the company has grown to offer around 7.8 million SKUs from approximately 2,700 brand manufacturers across 27 European countries, employing over 5,500 people. In 2025, AUTODOC generated sales revenue of EUR 1.8 billion.
